VYZM provides done-for-you AI solutions and website services for businesses, including but not limited to:
- AI chat agents and voice receptionists
- Automated lead nurture and follow-up systems
- Smart booking and calendar management tools
- Review automation and reputation management
- AI-powered website design and development
- Social media automation
- AI training and consultancy
The specific scope of services, deliverables, timescales and fees for each engagement will be agreed in writing prior to commencement of work.
3. Engagement and Payment
3.1 Proposals and agreements
All services are subject to a written proposal or service agreement accepted by the client. Work will not commence until agreement is confirmed in writing and any applicable deposit is received.
3.2 Fees
Fees are as agreed in the relevant proposal or service agreement. Unless otherwise stated, all prices are exclusive of VAT where applicable.
3.3 Payment terms
Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.4 Deposits and refunds
A deposit may be required before work commences. Deposits are non-refundable once work has begun unless we are in material breach of our obligations. Refund terms for specific services will be set out in the individual service agreement.
4. Client Responsibilities
To enable us to deliver our services, you agree to:
- Provide accurate, complete and timely information, materials and approvals as reasonably required
- Ensure that any materials you provide to us (including content, images and data) do not infringe any third-party rights
- Notify us promptly of any changes that may affect the delivery of services
- Use our services only for lawful purposes and in accordance with these terms
5. Intellectual Property
5.1 Our materials
All intellectual property rights in materials, tools, methodologies and know-how developed by VYZM remain the property of Showmeai Ltd unless expressly transferred in writing.
5.2 Client materials
You retain ownership of all intellectual property in materials you provide to us. You grant us a licence to use such materials solely for the purpose of delivering the agreed services.
5.3 Deliverables
Upon receipt of full payment, ownership of bespoke deliverables created specifically for you will transfer to you, except where deliverables incorporate our proprietary tools or third-party licensed components.
6. Confidentiality
Both parties agree to keep confidential any information disclosed in connection with the services that is designated as confidential or that a reasonable person would consider confidential. This obligation does not apply to information that is publicly available or required to be disclosed by law.
7. Limitation of Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
Subject to the above:
- Our total liability to you in connection with any contract shall not exceed the total fees paid by you under that contract in the 12 months preceding the claim.
- We shall not be liable for any indirect, special, consequential or pure economic loss, loss of profit, loss of revenue, loss of data or loss of goodwill.
We do not guarantee specific business outcomes, revenue increases or performance metrics from the use of our services. Results will vary depending on your industry, market conditions and how you implement the solutions.
8. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care. We do not warrant that our services will be uninterrupted or error-free, or that any AI outputs will be accurate or complete.
Our website and its content are provided on an "as is" basis. We make no representations or warranties of any kind regarding the accuracy or completeness of website content.
9. Termination
Either party may terminate a service agreement by giving written notice as specified in the relevant agreement. We reserve the right to suspend or terminate services immediately where:
- You breach these terms or any service agreement in a material way
- You fail to make payment when due
- You use our services for unlawful or harmful purposes
Upon termination, all outstanding fees for work completed to date become immediately payable.
10. Third-Party Services
Our services may integrate with or rely on third-party platforms (such as CRM systems, communication tools or AI providers). We are not responsible for the availability, accuracy or performance of third-party services, and their use is subject to their own terms and privacy policies.
11. Governing Law and Disputes
These terms and any disputes arising from them are governed by the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
